ThreatGrid Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the ThreatGrid website, platforms, portals, applications, APIs, reports, services, and related offerings (collectively, the “Services”), operated by ThreatGrid, a cybersecurity division of Admiresty Corporation (“ThreatGrid,” “we,” “us,” or “our”). By accessing or using our Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Services.

1. Eligibility & Authorized Use

You must be at least 18 years of age and legally capable of forming binding contracts to use the Services. By using ThreatGrid Services, you represent that:

  • You are authorized to act on behalf of yourself or your organization

  • You will comply with all applicable laws and regulations

  • You will use the Services strictly for lawful cybersecurity, research, and business purposes

Unauthorized use is strictly prohibited.

2. Services Description

ThreatGrid provides cybersecurity intelligence, monitoring, analysis, assessment, and managed security services, including but not limited to:

  • Threat Intelligence & Reporting

  • Vulnerability Scanning & Prioritization (VSP)

  • Dark Web Monitoring

  • Ransomware Intelligence

  • Attack Surface Management

  • SIEM & Threat Hunting Services

  • Malware Analysis & Reverse Engineering

  • Incident Response Support

Specific service features, scopes, and service levels are governed by separate Service Agreements, Statements of Work (SOW), or Subscription Agreements.

3. Account Registration & Security

Some Services require account registration. You agree to:

  • Provide accurate and complete information

  • Maintain the confidentiality of login credentials

  • Immediately notify ThreatGrid of unauthorized access

  • Accept full responsibility for all activity under your account

ThreatGrid is not liable for losses caused by unauthorized account access resulting from your failure to secure credentials.

4. Acceptable Use Policy

You agree not to use the Services to:

  • Violate any federal, state, or international law

  • Conduct unauthorized penetration testing or attacks

  • Transmit malicious code, malware, or exploits

  • Interfere with system integrity or security

  • Infringe intellectual property rights

  • Harvest or scrape data without authorization

  • Misrepresent your identity or affiliation

ThreatGrid reserves the right to suspend or terminate access for violations of this policy.

5. Intellectual Property Rights

All content, software, reports, tools, graphics, logos, trademarks, trade names, and intellectual property associated with ThreatGrid Services are owned by or licensed to ThreatGrid and Admiresty Corporation.

You may not:

  • Copy, distribute, sell, sublicense, or reverse engineer any ThreatGrid content

  • Remove proprietary notices

  • Use ThreatGrid branding without written consent

Clients retain ownership of their submitted data; however, ThreatGrid may use anonymized and aggregated data for security research, analytics, and service improvement.

6. Confidentiality & Data Protection

Use of the Services may involve confidential, proprietary, or regulated information. You agree to:

  • Maintain confidentiality of ThreatGrid systems and materials

  • Protect system access credentials

  • Comply with applicable data protection laws

  • Use collected intelligence and reports only for authorized business use

ThreatGrid maintains administrative, technical, and physical safeguards for data protection in accordance with industry best practices.

7. No Guarantee of Threat Prevention

ThreatGrid Services are designed to reduce cybersecurity risk but do not guarantee prevention of all security incidents, breaches, or attacks. Cyber threats continuously evolve, and no security platform or service can provide absolute protection.

You acknowledge and accept the inherent risks of operating in digital environments.

8. Third-Party Services & Links

ThreatGrid Services may integrate with or link to third-party systems, platforms, or content. ThreatGrid does not control and is not responsible for:

  • Third-party security practices

  • Availability or reliability of external services

  • External content or data accuracy

Use of third-party services is governed by their own terms and policies.

9. Payment, Subscriptions & Billing

Certain Services require payment under separate billing terms. You agree that:

  • All fees are due according to your agreement or invoice

  • Fees are non-refundable unless expressly stated

  • Failure to pay may result in service suspension or termination

  • Taxes and government fees are your responsibility

Detailed billing terms are governed by your Service Agreement or SOW.

10. Disclaimers

ThreatGrid Services are provided “AS IS” and “AS AVAILABLE.” To the maximum extent permitted by law, ThreatGrid disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability

  • Fitness for a particular purpose

  • Non-infringement

  • Uninterrupted availability

  • Error-free operation

Threat intelligence is provided based on available data and research and should not be construed as legal, financial, or insurance advice.

11. Limitation of Liability

To the fullest extent permitted by law, ThreatGrid and Admiresty Corporation shall not be liable for:

  • Indirect, incidental, consequential, or punitive damages

  • Loss of profits, revenue, or business opportunities

  • Data loss or system downtime

  • Breach-related damages outside contracted liability limits

Total liability shall not exceed the fees paid to ThreatGrid for the applicable service period giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless ThreatGrid, Admiresty Corporation, its officers, employees, affiliates, and partners from any claims, damages, liabilities, losses, and expenses arising from:

  • Your misuse of the Services

  • Violation of these Terms

  • Breach of law or regulation

  • Unauthorized access caused by your systems

13. Suspension & Termination

ThreatGrid may suspend or terminate access to the Services:

  • For violation of these Terms

  • For non-payment

  • For security risk or abuse

  • As required by law or regulation

Upon termination, all access rights immediately cease.

14. Compliance With Laws

You agree to comply with all applicable:

  • Cybersecurity laws and regulations

  • Export control laws

  • Data privacy and protection statutes

  • Industry compliance obligations

You are responsible for determining the legal permissibility of using ThreatGrid Services in your jurisdiction.

15. Modifications to Terms

ThreatGrid reserves the right to modify these Terms at any time. Updated versions will be posted on this page with a revised “Last Updated” date. Continued use of the Services constitutes acceptance of revised Terms.

16. Governing Law & Jurisdiction

These Terms shall be governed by and construed under the laws of the State of North Carolina, United States, without regard to conflict-of-law principles. Any legal action shall be brought in courts of competent jurisdiction within that state.

17. Force Majeure

ThreatGrid shall not be liable for delays or failures caused by events beyond reasonable control, including natural disasters, power failures, labor disputes, cyberattacks on third-party infrastructure, or government actions.

18. Entire Agreement

These Terms, together with any applicable Service Agreements, SOWs, or Subscription Agreements, constitute the entire agreement between you and ThreatGrid concerning use of the Services.
